Terms of Service – ccolours+ (Trade & Wholesale)
OVERVIEW
Welcome to ccolours+. The terms “we”, “us” and “our” refer to ccolours+. We operate this online store and its Services (as defined below), which are powered by Shopify.
These Terms of Service (the “Terms”) apply to all users, including individual customers and approved wholesale accounts. If you are a business purchasing from us for resale, you must read these Terms in full — they include trade-specific clauses regarding pricing, fulfilment, and liability.
By accessing or using our Services, or submitting a wholesale application, you agree to be bound by these Terms and our Privacy Policy.
SECTION 1 – ACCESS, ACCOUNTS & ELIGIBILITY
To access the Services or apply for a trade account, you must be (a) at least 18 years old and (b) acting on behalf of a legitimate retail or commercial business. You must provide accurate, up-to-date company and contact information, including a business registration number and VAT ID if applicable.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We reserve the right to decline or revoke trade access at our discretion.
SECTION 2 – TRADE ACCOUNTS & WHOLESALE ORDERS
Approved trade customers may access exclusive pricing, bundles and stock allocations. We reserve the right to (a) request proof of trading activity, (b) set minimum order quantities or values, and (c) restrict resale to certain regions, platforms or channels.
You agree not to misrepresent products as your own brand, or remove ccolours+ labelling, trademarks or packaging unless explicitly authorised.
SECTION 3 – PRODUCT INFORMATION
We aim to provide clear and accurate product data. However, colours and finishes may appear differently depending on your display or lighting setup. We reserve the right to update descriptions or specifications without notice.
We may discontinue or limit certain products based on availability or manufacturing changes.
SECTION 4 – ORDER ACCEPTANCE
All orders are subject to approval and availability. Submission of an order does not guarantee acceptance. We may reject or cancel orders for any reason, including but not limited to credit issues, stock availability, or breach of these Terms.
Once an order is accepted and payment is received, it is considered binding. Cancellations or edits are not guaranteed and may incur handling charges.
SECTION 5 – PRICES, PAYMENT & BILLING
Trade pricing is exclusive to registered wholesale accounts. Prices are subject to change at any time. Unless stated otherwise, prices are quoted ex VAT and exclude shipping, handling, customs and duties.
You agree to pay in full and on time. We accept payment via approved methods at checkout. For invoice terms (if offered), payment is due within the agreed terms stated on the invoice.
Failure to pay on time may result in account suspension, cancellation of future orders, and legal recovery.
SECTION 6 – SHIPPING & RISK
Shipping costs will be confirmed at checkout or invoiced separately. All delivery timeframes are estimates only. We are not liable for delays due to carriers or customs.
Once goods leave our facility, risk transfers to the customer. For B2B orders, title of goods passes upon full payment, unless otherwise agreed.
SECTION 7 – RETURNS & DEFECTS
Returns are accepted for defective or damaged items only and must be reported within 7 days of delivery. We reserve the right to inspect and verify defects prior to issuing replacements or credit.
Change-of-mind returns are not accepted on wholesale orders. All sales are final unless otherwise agreed in writing.
SECTION 8 – INTELLECTUAL PROPERTY
All branding, product names, imagery and packaging designs remain the property of ccolours+. You may not alter, rebrand or misrepresent products without express permission.
Wholesale partners are permitted to use our product imagery and assets solely for the purpose of promoting authorised resale, subject to compliance with our brand guidelines.
SECTION 9 – THIRD-PARTY TOOLS & SERVICES
You may have access to third-party tools or links. These are provided “as-is” and we assume no responsibility for their operation or performance.
SECTION 10 – PRIVACY & DATA USE
We process customer data in accordance with our Privacy Policy [LINK]. Shopify may also process your data as a platform provider. You are responsible for ensuring that your use of our Services complies with applicable data protection laws in your region.
SECTION 11 – LIABILITY LIMITATIONS
To the fullest extent permitted by law, we shall not be liable for any indirect or consequential losses, including but not limited to loss of revenue, profit, opportunity or business interruption, arising out of or in connection with your use of the Services or our products.
Our total liability for any claim under these Terms is limited to the amount paid by you for the product giving rise to the claim.
SECTION 12 – INDEMNITY
You agree to indemnify and hold harmless ccolours+, our directors, employees, and agents, against any claims or losses arising from your misuse of the Services, breach of these Terms, or violation of any law or third-party rights.
SECTION 13 – TERMINATION
We may suspend or terminate your access to the Services at any time if we believe you are in breach of these Terms. You remain liable for any outstanding invoices or damages incurred.
SECTION 14 – CHANGES TO TERMS
We may update or modify these Terms from time to time. Any changes will be posted on this page. Material updates will be notified to trade account holders. Continued use of the Services after any changes constitutes acceptance.
SECTION 15 – GOVERNING LAW
These Terms are governed by the laws of England and Wales (or your local governing jurisdiction if agreed in writing). Any disputes shall be subject to the exclusive jurisdiction of the courts of England.
